Welcome to Team Cash. These Terms of Service ("Terms") govern your access to and use of the Team Cash website, platform, and services (collectively, the "Services") operated by Team Cash ("we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

Team Cash provides a financial management platform designed for sports organizations, enabling:

• Creation and management of team bank accounts
• Issuance of virtual and physical payment cards
• Fund transfers between accounts
• Financial reporting and oversight tools

Our banking and card services are powered by Stripe Treasury and Stripe Issuing. By using these Services, you also agree to Stripe's Connected Account Agreement and Stripe Services Agreement.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the authority to bind the organization you represent
• Not be prohibited from using financial services under applicable law
• Provide accurate and complete information during registration

Our Services are currently available only to sports organizations operating in the United States.

3. Account Registration

Creating an Account

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account

Identity Verification

To comply with federal regulations, we are required to verify your identity and the identity of your organization. This may include collecting:

• Government-issued identification
• Social Security Number or Tax Identification Number
• Business registration documents
• Proof of address

We reserve the right to refuse service if we cannot verify your identity or if verification reveals concerning information.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal activity, including money laundering, fraud, or terrorist financing
• Violate any applicable laws, regulations, or third-party rights
• Provide false, inaccurate, or misleading information
• Use the Services for personal (non-organizational) banking purposes
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to transmit malware or other harmful code
• Engage in any activity that could damage our reputation or goodwill
• Use the Services for any purpose prohibited by Stripe's acceptable use policy

5. Financial Services Terms

Bank Accounts

Team Cash accounts are provided through Stripe Treasury in partnership with FDIC-insured banks. Funds held in your Team Cash account are:

• Held at partner banks and eligible for FDIC insurance (subject to applicable limits)
• Not held directly by Team Cash
• Subject to Stripe's terms and the partner bank's account agreement

Payment Cards

Cards issued through Team Cash are provided by Stripe Issuing. Card usage is subject to:

• Spending limits set by your organization administrator
• Available balance in the associated team account
• Stripe's cardholder terms and conditions
• Network rules (Visa or Mastercard, as applicable)

Transfers

Fund transfers are subject to processing times and may be delayed for fraud prevention, compliance review, or other security purposes. We are not responsible for delays caused by third parties, including banks and payment networks.

Fees

We will provide clear disclosure of any fees associated with the Services before you incur them. Fee schedules may be updated from time to time with notice to you.

6. Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, and software) are owned by Team Cash or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Services

We do not provide investment, tax, or legal advice. You should consult with qualified professionals regarding your specific situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM CASH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from unauthorized access to or alteration of your data

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of (a) the fees you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Team Cash and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or information you provide through the Services

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Failure to pass identity verification
• Request by law enforcement or government agency
• Extended periods of inactivity
• Discontinuation of the Services

Upon termination, you must cease all use of the Services. We will provide reasonable assistance in transferring any remaining funds, subject to applicable holds and legal requirements.

12. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. For significant changes, we may also notify you by email.

Your continued use of the Services after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Team Cash regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Notices: We may provide notices to you via email, posting on the Services, or other reasonable means.
